Please read these terms carefully before using the Torvali platform. By accessing or using our services, you agree to be bound by them.
SheriChic Inc. ("SheriChic," "we," "us," or "our") operates an e-commerce platform available at torvali.com (the "Platform") that enables independent merchants ("Merchants") to create and manage online storefronts and sell products to their customers ("End Customers").
SheriChic is incorporated and operates under applicable laws. Our registered address and contact information are listed in Section 20.
By creating an account, accessing the Platform, or using any of our services, you ("you" or "Merchant") agree to these Terms of Service ("Terms"), our Privacy Policy, and any additional guidelines or policies we publish. If you do not agree, do not use the Platform.
If you are using the Platform on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms. In that case, "you" refers to both the individual and the entity.
You must be at least 18 years old and capable of entering into a legally binding contract to create an account. By registering, you represent that all information you provide is accurate, current, and complete.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at security@sherichic.com of any unauthorized use of your account or any other security breach.
Each merchant may register one store account. You may not create multiple accounts to circumvent any suspension, ban, or limit imposed by SheriChic.
You agree to keep your account information, including your email address and billing details, up to date. SheriChic is not liable for issues arising from inaccurate or outdated account information you provide.
SheriChic provides a hosted e-commerce platform that includes, among other features: storefront creation, product and inventory management, order management, customer account management, analytics, theme and layout customization, and payment processing integration via Stripe.
We reserve the right to modify, add, suspend, or discontinue any feature or aspect of the Platform at any time. We will make reasonable efforts to notify you of material changes in advance where practicable.
We do not guarantee uninterrupted or error-free availability of the Platform. We will endeavor to schedule maintenance during off-peak hours and provide advance notice where possible.
You are solely responsible for the operation of your store, including the products and services you offer, your pricing, your policies (returns, shipping, etc.), and your communications with End Customers.
You agree to operate your store in compliance with all applicable local, state, national, and international laws and regulations, including consumer protection laws, product safety regulations, tax obligations, and data protection laws.
You are responsible for ensuring that all product listings, descriptions, images, and prices are accurate and not misleading. You may not list products you do not have the right to sell.
You are responsible for fulfilling orders placed through your storefront, handling returns and refunds in accordance with the policies you publish, and resolving disputes with your End Customers directly.
You are solely responsible for determining, collecting, reporting, and remitting applicable taxes related to your sales. SheriChic does not provide tax advice and is not responsible for any tax obligations arising from your use of the Platform.
Transactions on your storefront are between you and your End Customers. SheriChic is not a party to those transactions and is not responsible for disputes, chargebacks, or issues arising between you and your customers.
You must maintain clear and accurate policies regarding shipping, returns, and refunds on your storefront. SheriChic may require you to provide evidence of such policies in the event of a dispute.
Use of the SheriChic Platform is billed at $10.00 USD per month per merchant account. Fees are billed monthly in advance on your billing date. All fees are non-refundable except as expressly set out in these Terms or required by applicable law.
Payment processing for your End Customers is handled through Stripe. By using payment features on the Platform, you agree to Stripe's Terms of Service. Stripe's standard processing fees apply to each transaction and are deducted directly from your payouts. SheriChic does not charge additional transaction fees beyond the monthly platform fee.
If your monthly payment fails, we will notify you at your registered email address. If payment is not received within 7 days of the due date, we reserve the right to suspend or terminate your account. You remain responsible for all outstanding amounts.
We will provide at least 30 days' notice of any changes to our pricing by email to your registered address. Continued use of the Platform after a price change takes effect constitutes acceptance of the new pricing.
Monthly subscription fees are non-refundable. If you cancel your account, you will retain access to the Platform until the end of your current billing period.
SheriChic supports the use of custom domains that you own and control. You may point your domain's DNS records to SheriChic, and we will automatically provision and manage an SSL/TLS certificate for your storefront at no additional charge.
You represent that you have the legal right to use any domain you connect to the Platform. SheriChic may disconnect a domain if we receive a valid legal claim that its use infringes third-party rights or violates these Terms.

The Platform, including its software, design, features, trademarks, and content created by SheriChic, is owned by SheriChic Inc. and protected by copyright, trademark, and other intellectual property laws. You may not copy, reproduce, modify, or distribute any part of the Platform without our prior written consent.
You retain ownership of all content you upload or create on the Platform, including product images, descriptions, and store branding ("Your Content"). By uploading Your Content, you grant SheriChic a non-exclusive, worldwide, royalty-free license to host, display, and transmit Your Content solely for the purpose of operating and providing the Platform.
If you submit suggestions, ideas, or feedback about the Platform, you grant SheriChic the right to use that feedback without restriction or compensation to you.
If you believe content on the Platform infringes your copyright, please send a written notice to legal@sherichic.com with the information required under the Digital Millennium Copyright Act (DMCA). We will respond to valid notices in accordance with applicable law.
You are solely responsible for all content you publish through the Platform. SheriChic does not pre-screen content but reserves the right to remove any content that violates these Terms or applicable law.
While SheriChic maintains routine backups, you are responsible for maintaining your own copies of any content or data you consider critical. We do not guarantee that backups will be available in all circumstances.
You may export your store data (products, orders, customer records) at any time via the Dashboard. Upon account termination, we will retain your data for 30 days to allow for export, after which it may be deleted.
Your use of the Platform is also governed by our Privacy Policy, available at sherichic.com/privacy, which is incorporated into these Terms by reference.
You are responsible for your own compliance with applicable data protection and privacy laws in relation to your End Customers' data collected through your storefront, including obtaining appropriate consents and maintaining a compliant privacy policy on your store.
The Platform may integrate with or link to third-party services, including Stripe for payment processing. Your use of any third-party service is subject to that service's own terms and policies. SheriChic is not responsible for the availability, accuracy, or practices of any third-party service.
SheriChic may earn referral fees or commissions from third-party providers. These relationships do not affect our obligation to act in accordance with these Terms.
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
SHERICHIC DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOU USE THE PLATFORM ENTIRELY AT YOUR OWN RISK.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SHERICHIC INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM.
IN NO EVENT SHALL SHERICHIC'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO SHERICHIC IN THE 3 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) $30.00 USD.
Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.
You agree to indemnify, defend, and hold harmless SheriChic Inc. and its officers, directors, employees, contractors, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from:
You may cancel your account at any time through the Dashboard or by emailing support@sherichic.com. Cancellation takes effect at the end of your current billing period. No refunds will be issued for unused time.
We may suspend or terminate your account at any time, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or pose a risk to other users or the Platform. We will endeavor to provide advance notice where practicable unless immediate action is necessary.
Upon termination, your right to access and use the Platform immediately ceases. We may delete your store data after the 30-day retention period described in Section 11.3. Provisions of these Terms that by their nature should survive termination (including Sections 10, 14, 15, 16, and 19) will continue to apply.
We reserve the right to update or modify these Terms at any time. We will notify you of material changes by email to your registered address and/or by posting a notice on the Platform at least 14 days before the changes take effect.
Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Platform and cancel your account before the effective date.
These Terms and any disputes arising from them shall be governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Before initiating any formal legal proceeding, you agree to contact us at legal@sherichic.com and attempt to resolve the dispute informally for at least 30 days.
If informal resolution fails, any dispute shall be resolved by binding arbitration administered under the rules of the American Arbitration Association (AAA), conducted in English, on an individual basis. You waive any right to participate in a class action lawsuit or class-wide arbitration.
Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction for matters involving intellectual property or unauthorized access to the Platform.
